01Introduction
Loud Shark LLC dba Alpha Dezine Ltd. (hereinafter referred to as "Alpha Dezine", "we", "us", or "our") provides custom software and services related to collegiate merchandise licensing and design management. By accessing or using our services, you agree to be bound by the following terms and conditions.
02Service Description
Alpha Dezine provides a variety of services including but not limited to license management, graphic design, custom software development, artwork approval portal, middleware software automation, and legacy system integration via API. Our services are designed to streamline the brand management process and simplify repetitive tasks.
03Intellectual Property
All proprietary software and technology developed by Alpha Dezine is protected by copyright and trademark law. Any unauthorized use or reproduction of our proprietary software is strictly prohibited. Any intellectual property created by Alpha Dezine during the course of providing services to you remains the sole property of Alpha Dezine.
Alpha Dezine holds no financial and legal liabilities if reproduction or alteration of licensing digital asset, was provided as service at the request of service creating digital asset for a sales or distribution of merchandise, solely held responsible by owner of licensee.
Alpha Dezine, shall intimate to respective license management company about the reproduction or alteration of respective company, school or university who holds complete right to reject the request.
04Terms of Payment
All payments for services provided by Alpha Dezine must be made in a timely manner according to the payment terms outlined in the service agreement. Late payments may result in the suspension or termination of services.
05Warranty Disclaimer
Alpha Dezine makes no warranty of any kind, express or implied, as to the operation of its services or the information, content, materials, or products included on its website. Alpha Dezine shall not be held responsible for any damages arising from the use of its services.
06Limitation of Liability
Alpha Dezine shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of its services. Our total liability shall not exceed the total amount paid by you for the services provided.
07Confidentiality
Alpha Dezine recognizes the importance of protecting the confidential information of its clients. Alpha Dezine shall maintain the confidentiality of all confidential information that it receives from the client and shall not disclose such information to any third party.
08Termination
The client may terminate this agreement at any time by providing written notice to Alpha Dezine. In such case, Alpha Dezine will stop providing the services and will return all confidential information to the client. Alpha Dezine may terminate this agreement at any time by providing written notice to the client.
09Liability
Alpha Dezine will not be liable for any damages, whether direct, indirect, incidental, or consequential, arising from the use of its services. The client agrees to hold Alpha Dezine harmless from any claims or damages arising from the use of the services provided.
10Indemnification
The client agrees to indemnify, defend and hold Alpha Dezine harmless from any and all claims, liabilities, damages, and expenses, including reasonable attorneys' fees, arising from the client's use of Alpha Dezine's services.
11Dispute Resolution
Any dispute arising out of or relating to this agreement shall be resolved by arbitration in accordance with the rules of the American Arbitration Association.
